1. Who we are

This website at www.idatechsol.com is operated by IDA Tech-Solutions ("IDA", "we", "us", "our"), an information technology services company with its registered office at Kasturi Garden, SSM Marg, Bhayander-West, Thane 401101, Maharashtra, India, a delivery centre in Mumbai, and client offices in the United States and the United Kingdom.

We provide consulting, implementation, managed services and software products across ERP, data and analytics, business AI and quantitative technology. These terms govern your use of this website. They do not, by themselves, entitle you to any of those services.

2. Acceptance of these terms

By accessing or using this website you agree to these terms. If you do not accept them, please do not use the site.

We may amend these terms at any time by posting a revised version on this page. The "Last updated" date above tells you when the current version took effect. Changes apply from the moment they are posted, and your continued use of the site after that constitutes acceptance. We recommend you review this page periodically.

3. These terms are not your engagement contract

Services are delivered only under a separate written agreement — typically a master services agreement, a statement of work, an order form or a subscription agreement (an "Engagement Contract"). Where anything on this website conflicts with an Engagement Contract signed by both parties, the Engagement Contract prevails in respect of the services it covers.

Nothing on this website is an offer capable of acceptance. Descriptions of services, products, methodologies, delivery timelines, accelerators and outcomes are provided for information. Scope, fees, service levels, acceptance criteria, warranties and remedies are fixed only in an Engagement Contract.

4. Permitted use of this website

You may view, download and print material from this site for your own internal business evaluation of our services. You may not, without our prior written consent:

• reproduce, republish, license or commercially exploit any part of the site or its content;
• use the site or its content to build, train or benchmark a competing product, service or dataset;
• scrape, crawl, harvest or systematically extract content, except by a search engine indexing the site in the ordinary way and in line with our robots.txt;
• probe, scan or test the vulnerability of the site or any connected system, or breach or circumvent any security or authentication measure;
• introduce malware, or attempt to interfere with the availability or integrity of the site, including by denial-of-service or excessive automated requests;
• misrepresent your identity or your affiliation with any person or organisation; or
• use the site in breach of any applicable law, or for any unlawful or fraudulent purpose.

We may suspend or withdraw access to all or part of the site, to any person, at any time and without notice.

5. Enquiries, proposals and applications

When you submit the enquiry form you confirm that the information you provide is accurate, that you are authorised to provide it, and that you are contacting us in a business capacity. Do not send us confidential information, personal data of third parties, credentials, or client-owned material through the form. Use of the form does not create a confidentiality obligation, a client relationship or a duty on our part to respond.

Any proposal, estimate or indicative pricing we issue in response is valid only for the period stated in it and remains subject to contract.

Career applications submitted through this site are handled as described in our Privacy Policy. Submitting an application does not create an offer of employment or engagement.

6. Intellectual property

All content on this website — text, graphics, artwork, logos, icons, layout, software and the selection and arrangement of all of it — is owned by IDA Tech-Solutions or its licensors and is protected by copyright, trade mark and other intellectual property laws. The IDA Tech-Solutions name and logo, and the product names Qorvex, EXIMnx and Pavana, are marks of IDA Tech-Solutions. Third-party names and marks appearing on the site, including the names of the technology vendors and platforms we work with, belong to their respective owners and are used for identification only; their appearance does not imply endorsement, partnership or certification unless we state so expressly.

In delivery engagements, ownership is governed by the Engagement Contract. As a general position, and subject to what that contract says: we retain all rights in our pre-existing and independently developed materials, methods, frameworks, tools, accelerators and products ("Background IP"); the client owns its own data and its pre-existing materials; and deliverables created specifically for the client are licensed or assigned as the contract provides, with a licence to any Background IP embedded in them to the extent needed to use the deliverable for its intended purpose.

7. Products, demonstrations and trials

Our software products are licensed, not sold, under their own subscription or licence terms. Access granted for a demonstration, proof of concept, pilot or evaluation is temporary, non-exclusive, non-transferable and limited to evaluation. It may be withdrawn at any time, carries no service levels and no warranty of any kind, and must not be used for production processing or with live regulated, personal or confidential data unless we agree that in writing.

Outputs generated by AI-enabled features are probabilistic and may be incomplete or incorrect. They are decision support, not decisions. You remain responsible for reviewing outputs before acting on them and for any regulatory, financial, safety or employment consequence of doing so.

8. Third-party links and resources

This site links to third-party websites and loads resources such as fonts and stylesheets from third-party content delivery networks. We do not control those third parties, do not endorse them, and are not responsible for their content, availability or practices. Links are provided for convenience only, and your use of a third-party site is governed by that site's terms.

9. Availability and accuracy

We aim to keep this site available and its content current, but we give no guarantee of either. The site is provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties, conditions and representations, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement or uninterrupted access.

Case studies, statistics, benchmarks and client outcomes described on this site reflect specific engagements under specific conditions. They are illustrative and are not a prediction, promise or guarantee of the results you will obtain.

10. Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to that, and to the fullest extent permitted by law, we will not be liable to you for any loss of profit, revenue, business, anticipated savings, goodwill, data, or for any indirect or consequential loss, arising out of or in connection with your use of this website, whether in contract, tort (including negligence), under statute or otherwise, and whether or not such loss was foreseeable.

Our total aggregate liability arising out of or in connection with your use of this website is limited to INR 10,000 (ten thousand Indian Rupees). Liability arising under an Engagement Contract is governed by the limitation of liability in that contract, not by this clause.

11. Indemnity

You agree to indemnify us against all claims, liabilities, damages, losses and reasonable costs (including legal fees) arising from your breach of these terms, your misuse of this website, or your infringement of the rights of any third party in connection with your use of it.

12. Privacy and data protection

Personal data collected through this website is handled as set out in our Privacy Policy and our Cookie Notice, which form part of these terms. Where we process personal data on behalf of a client in the course of delivering services, we do so as a processor, on that client's documented instructions and under the data processing terms in the Engagement Contract.

13. Export control and sanctions

You may not access or use this website, or any material or software obtained from it, in breach of applicable export control or economic sanctions laws, including those of India, the United Kingdom, the European Union and the United States. You confirm that you are not located in, and are not acting on behalf of a person located in or otherwise subject to, a jurisdiction or designation restricted under those laws.

14. Events outside our control

We are not liable for any failure or delay in making this website available where that failure or delay results from an event beyond our reasonable control, including network or hosting failure, power or telecommunications failure, cyber attack, act of government, industrial action, epidemic, natural disaster, war or civil unrest.

15. General

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of it. You may not assign or transfer your rights under these terms. A person who is not a party to these terms has no right to enforce them.

These terms, together with the Privacy Policy and Cookie Notice, are the entire agreement between you and us in relation to your use of this website.

16. Governing law and jurisdiction

These terms and any dispute arising out of or in connection with them or their subject matter, including non-contractual disputes, are governed by the laws of India. The courts at Mumbai, Maharashtra, India have exclusive jurisdiction, save that we may bring proceedings to protect our intellectual property or confidential information in any court of competent jurisdiction.

Where you engage us under an Engagement Contract, the governing law and dispute resolution provisions of that contract apply to that engagement in place of this clause.
